Terms of Service

These Terms of Service ("Terms") govern your use of services provided by Wilkinson Automation Co. LLC ("Company," "we," "us," or "our"), a limited liability company organized under the laws of the State of Arkansas. By engaging our services or signing a service agreement, you agree to these Terms.

1. Services

Wilkinson Automation Co. LLC provides marketing automation services to home service businesses, including but not limited to: automated lead follow-up, missed call text-back systems, appointment booking automation, review generation, and related digital marketing tools delivered through our software platform.

Specific services delivered to each client are defined in the applicable service agreement or order form executed between the parties.

2. Eligibility

Our services are available to businesses and individuals 18 years of age or older operating a lawful business in the United States. By engaging our services, you represent that you have the authority to enter into a binding agreement on behalf of your business.

3. Service Agreements and Billing

• Services are billed on a monthly or annual basis as specified in your service agreement.
• Monthly plans are billed on the same date each month following the initial setup period.
• Annual plans are billed upfront for a 12-month term at the agreed rate.
• A one-time setup fee is charged upon execution of the service agreement and is non-refundable.
• All fees are in U.S. dollars and processed through our payment processor (Stripe).
• Failure to maintain current payment information resulting in failed charges may result in service suspension after 5 business days notice.

4. Refunds and Cancellations

Please refer to our Refund Policy for complete details. Key terms:

• Setup fees are non-refundable.
• Monthly plans may be cancelled with 30 days written notice; no partial month refunds.
• Annual plans are subject to the terms outlined in our Refund Policy, which includes a service credit structure rather than cash refunds for prepaid periods.

5. Client Responsibilities

You agree to:

• Provide accurate business information required for service delivery
• Obtain any required consents from your customers before we send automated communications on your behalf
• Comply with all applicable laws including the TCPA, CAN-SPAM Act, and Arkansas state law
• Not use our services to send unsolicited messages, spam, or communications that violate applicable law
• Respond to our reasonable requests for information needed to deliver services
• Maintain accurate contact and billing information with us

6. Prohibited Uses

You may not use our services to:

• Send communications to individuals who have opted out or requested not to be contacted
• Engage in deceptive, fraudulent, or unlawful marketing practices
• Violate any applicable federal, state, or local law or regulation
• Infringe on the intellectual property rights of any third party
• Transmit harmful, offensive, or inappropriate content

7. SMS and Messaging Compliance

Client acknowledges that automated SMS messaging services delivered through our platform are subject to federal and FCC regulations including the TCPA and A2P 10DLC requirements. Client is responsible for ensuring their customer contact lists consist only of individuals who have provided proper consent to receive automated messages. We are not liable for regulatory violations resulting from Client's failure to maintain proper opt-in records.

8. Intellectual Property

All proprietary systems, workflows, automation templates, and software tools provided by Wilkinson Automation Co. LLC remain our exclusive property. Client receives a limited, non-transferable license to use these tools during the active service period. Upon termination, access to our proprietary systems is revoked.

Client retains ownership of their own business data, customer contacts, and content provided to us for service delivery.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the service relationship, and not to disclose such information to third parties without prior written consent, except as required by law.

10. Limitation of Liability

To the maximum extent permitted by Arkansas law, Wilkinson Automation Co. LLC's total liability to you for any claim arising from our services shall not exceed the total amount paid by you to us in the three (3) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

We do not guarantee specific results including search ranking improvements, lead volume, or revenue increases. Marketing outcomes depend on many factors outside our control.

11. Indemnification

You agree to indemnify and hold harmless Wilkinson Automation Co. LLC and its members, employees, and contractors from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your violation of any applicable law.

12. Termination

Either party may terminate the service agreement in accordance with the notice requirements specified therein. We reserve the right to immediately suspend or terminate services if Client violates these Terms, engages in prohibited conduct, or fails to pay amounts due after notice.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arkansas, without regard to conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in Sebastian County, Arkansas. Both parties consent to the personal jurisdiction of such courts.

Before initiating formal legal proceedings, both parties agree to attempt good-faith resolution of any dispute through direct communication for a period of 30 days.

14. Changes to Terms

We may update these Terms periodically. We will notify active clients of material changes via email with at least 14 days notice. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
